These terms apply to the supply of goods and services (signage, fabrication, print and installation) by North By North East Print & Sign Limited (“NBNE Signs”). They do not apply to software, SaaS or professional engineering deliverables — see section 7.
1. Quotation and pricing
1.1 Validity
This quotation is valid for 30 days from the date of issue unless otherwise stated.
1.2 Prices and VAT
Prices exclude VAT unless otherwise stated.
2. Payment
2.1 Deposit and acceptance
A 25% deposit is payable on acceptance of this quotation, or a purchase order from an established account customer may be accepted in lieu of a deposit at NBNE Signs’ discretion. The balance is due on completion of manufacture (or, for installed work, on completion of installation), or in accordance with agreed account terms, and in any event within 14 days of the date of invoice. An “established account customer” is a customer to whom NBNE Signs has, in writing, granted account terms.
2.2 Late payment
Invoices not paid by the due date will bear interest at 8% above the Bank of England base rate, accruing daily, together with fixed sum compensation and reasonable recovery costs, in accordance with the Late Payment of Commercial Debts (Interest) Act 1998. NBNE Signs may suspend further work or delivery while any sum remains overdue.
3. Production and lead times
3.1 Lead times
Lead times assume receipt of approved artwork and either the deposit or a confirmed purchase order. Lead times run from the date both are received. Any period during which NBNE Signs is awaiting the customer’s design approval, artwork sign-off, site access confirmation, or the deposit or purchase order, does not count toward the quoted lead time.
3.2 Artwork approval and indemnity
The customer is responsible for checking and approving all artwork, proofs, dimensions, spelling and colour prior to production. NBNE Signs is not liable for errors in artwork approved by the customer. The customer warrants that any artwork, logos, text or images it supplies do not infringe any third party’s intellectual property or other rights, and indemnifies NBNE Signs against all claims, losses and costs arising from their use.
3.3 Copyright
NBNE Signs retains copyright in all artwork and designs it produces unless transferred to the customer in writing.
3.4 Portfolio use
NBNE Signs may photograph completed work and use the images for marketing and portfolio purposes unless the customer notifies NBNE Signs otherwise in writing.
3.5 Customer-supplied artwork
“Supply-ready artwork” means vector files (AI, EPS, PDF or SVG) with all type converted to outlines, in the correct colour space where applicable, and at a size suitable for reproduction.
Where the artwork the customer supplies is not supply-ready — for example, low-resolution images, screenshots, photographs of printed material, web-quality logos, or files that need to be redrawn for accurate reproduction — NBNE Signs will quote separately for the design or recreation work required. This work is chargeable at NBNE Signs’ standard design rate (currently £40 per hour, exclusive of VAT) and is itemised in the quotation or as a variation. Production lead times start from approval of the redrawn artwork, not from the date the original files were supplied.

3.6 Design approval before commencement
Fabrication or production commences on receipt of both (a) written design approval from the customer’s named contact (see 3.7), and (b) the deposit or a confirmed purchase order. Silence or an unanswered request for approval is not accepted as approval. Any verbal indication of go-ahead must be confirmed in writing before NBNE Signs commences work.
3.7 Named customer contact
The customer will identify a single named individual who is authorised to approve designs, changes and scope on the customer’s behalf. NBNE Signs will not act on informal or verbal instructions from other members of the customer’s staff without the named contact’s written confirmation. Progress queries should be directed to the named NBNE Signs project contact identified on the quotation.
3.8 Variations and change orders
Changes requested to an approved design, or to work already in production or fabrication, are handled by a written change order agreed by both parties before the change is implemented. Late-stage changes may extend the agreed delivery date and may require re-fabrication of components at additional cost, which will be quoted before further work proceeds. Verbal change requests without a written change order are not accepted.
4. Delivery, installation and title
4.1 Installation requirements
Installation access, power and scaffold requirements are to be confirmed prior to manufacture.
4.2 Site conditions
Quotations assume that the site, access, substrate, ground and fixing conditions are as represented or as may reasonably be anticipated. NBNE Signs is not liable for delay or additional cost arising from site conditions, substrate or structure, access, or power or scaffold provision differing from those confirmed, and any resulting additional work will be charged as a variation. Where the customer’s structure or substrate is found to be unsuitable, NBNE Signs will advise the customer but accepts no liability for the adequacy of structures or fixings that fall outside its supply.
4.3 Retention of title
Risk in all goods passes to the customer on delivery or on commencement of installation, whichever is earlier. Title in all goods remains with NBNE Signs until payment of all sums due on the customer’s account (including any other outstanding invoices) has been received in cleared funds. Until title passes, the customer holds the goods as bailee, must store them so that they remain identifiable as NBNE Signs’ property, and NBNE Signs may recover and resell them and may enter the customer’s premises for that purpose.
5. Liability
5.1 Limitation of liability
Nothing in these terms limits or excludes liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded. Subject to that, NBNE Signs’ total liability arising out of or in connection with any contract is limited to the price paid for the goods or services concerned, and NBNE Signs is not liable for any indirect or consequential loss, loss of profit, loss of business, or loss of goodwill.
6. Working relationship
6.1 Communication
NBNE Signs commits to keeping the customer clearly informed of progress at each stage. Where the customer has a concern about progress or status, the customer should raise it with the named NBNE Signs project contact identified on the quotation. NBNE Signs will respond promptly with the current status of the work.
6.2 Respectful conduct and right to pause
The customer and NBNE Signs agree to communicate respectfully and in good faith. Where communication from the customer or its representatives becomes abusive, or persistently adversarial to a degree that materially impairs NBNE Signs’ ability to safely complete the work to standard, NBNE Signs may suspend work under the contract pending resolution, having first notified the customer in writing. Any time during which work is suspended under this clause does not count toward the agreed lead time.
6.3 Withdrawal after commencement
Where a customer withdraws a project after fabrication or production has commenced, or is asked to withdraw under 6.2 and does not resolve the underlying issue within a reasonable time, the deposit or PO-covered value paid to date is non-refundable, to cover materials procured and work performed. Any additional work in progress or materials committed will be invoiced at cost.
7. Scope and other terms
6.1 Software and SaaS
These terms do not cover the supply of software, hosted platforms or SaaS services, which are governed by separate written terms.
6.2 Professional engineering services
These terms do not cover professional engineering deliverables (including structural assessments, wind-loading calculations and CEng-certified packages), which are supplied under separate consultancy terms.
6.3 Canonical version
This page sets out the full terms and conditions of sale and applies to all contracts. A condensed summary may accompany individual quotations for convenience; in the event of any inconsistency between a summary and this page, this page prevails.
